I am helping our client, a Top- Tier PRC Asset Management Firm, to look for a Legal Assistant to join them.
Responsibilities
Provide legal support for investment activities, covering both pre-investment (due diligence, transaction documentation review, deal structuring) and post-investment stages (ongoing monitoring, amendment agreements, and exit-related matters)
Assist in the full lifecycle of private fund launches and management, including fund formation, structuring, offering documents, subscription agreements, and ongoing fund administration
Review, draft, and organise legal documents such as term sheets, investment agreements, side letters, fund constitutional documents, and related ancillary agreements
Conduct legal research and support compliance with applicable laws and regulations relevant to asset management and private funds in Hong Kong and relevant jurisdictions
Coordinate with internal teams (Investment, Compliance, Operations, Risk) and external counsel on legal matters throughout the investment and fund lifecycle
Maintain accurate legal records, track key dates (e.g., deadlines, renewals, reporting obligations), and ensure timely follow-up on outstanding legal items
Support the preparation of board/investment committee materials and other internal reporting as required
Handle ad-hoc legal and administrative tasks to support the legal and investment functions
Requirements
Bachelor’s degree in law or a related discipline; legal qualification (or currently pursuing) is an advantage
2–5 years of relevant experience in legal support roles, preferably within asset management, private equity, fund management, or corporate law firms with exposure to investment transactions and funds
Solid understanding of investment documentation and private fund structures
Strong attention to detail, excellent organisational skills, and the ability to manage multiple priorities under tight timelines
Proficient in Microsoft Office and document management systems
Excellent written and spoken English and Chinese (Mandarin and/or Cantonese); ability to review Chinese legal documents is highly preferred
Proactive, team-oriented, and able to work effectively in a fast-paced financial environment
