Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Keystone AI platform, websites, and related services (collectively, the "Service") operated by Cornerstone Global Partners Pte. Ltd. (Singapore) or the applicable contracting entity within the CGP Group, including Agensi Pekerjaan Cornerstone Global Partners (Malaysia) Sdn. Bhd, Cornerstone Global Partners (Vietnam) Company Limited, CGP Recruitment (Thailand) Co., Ltd, Cornerstone Global Partners Colombia SAS, and Cornerstone Global Partners Columbus Inc in the United States (collectively, "CGP", "we", "us", or "our"). The entity contracting with you depends on your location or the CGP entity providing the Service. Where not otherwise specified in an applicable order form, Cornerstone Global Partners Pte. Ltd. (Singapore) shall be the contracting entity.

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

1. Eligibility and Accounts

You must be at least 18 years old and have authority to bind your organization, where applicable, to use the Service. Account authentication and session management for the Keystone AI platform are provided by our authentication provider, Clerk. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized use of your account or any security breach.

2. Permitted Use

You may use the Service only for lawful recruitment, talent sourcing, interview, and workforce-related purposes in accordance with these Terms and applicable law. You agree that you will (i) use the Service in compliance with all applicable laws and regulations, including data protection, employment, and anti-discrimination laws; (ii) ensure that you have a valid legal basis to process any personal data submitted to or processed through the Service; and (iii) provide appropriate notices to individuals where required under applicable laws. You must not (i) use the Service for any unlawful, harmful, or fraudulent activity; (ii) process personal data without a lawful basis or in violation of applicable laws; (iii) use the Service to carry out unlawful discrimination or unfair profiling; (iv) interfere with or disrupt the integrity, security, or performance of the Service; (v) attempt to gain unauthorized access to the Service, its systems, or related networks; (vi) reverse engineer, decompile, or attempt to extract the source code, underlying models, or data of the Service; and (vii) upload, post, or transmit any content that infringes intellectual property rights or other rights of any person.

We reserve the right to suspend or restrict access to the Service if we reasonably believe that your use of the Service breaches these Terms or applicable laws.

3. AI-Assisted Features

Certain features may use automated or AI-assisted tools to rank, screen, or interact with candidates. Outputs are provided for decision-support purposes only and do not replace human judgment. We do not make fully automated decisions that produce legal or similarly significant effects without human involvement. You remain responsible for reviewing and validating AI-generated outputs and for ensuring that your use of these features complies with applicable employment, data protection, and anti-discrimination laws. You must not rely solely on outputs generated by the Service when making decisions that may affect individuals, including hiring or employment decisions. We do not guarantee the accuracy, completeness, or suitability of AI-generated outputs and disclaims liability to the extent permitted by law.

4. Intellectual Property

We and our licensors retain all rights in the Service, including software, branding, and content we provide. You retain all rights in data you submit, subject to a limited, non-exclusive, worldwide license granted to us to host, process, transmit, and display such data solely for the purpose of providing and improving the Service.

We may use aggregated and anonymized data derived from use of the Service for analytics, product improvement, and benchmarking, provided such data does not identify any individual or customer. You grant us a royalty-free, perpetual license to use feedback or suggestions you provide.

5. Fees and Trials

Paid features, subscriptions, or trials may be subject to separate order forms or pricing terms. Unless otherwise stated, fees are non-refundable except where required by law. We may suspend access to paid features for non-payment following reasonable notice. Fees are exclusive of applicable taxes, which you are responsible for where required by law.

6. Disclaimers and Limitation of Liability

The Service is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We do not guarantee uninterrupted availability, or that outputs will be error-free. Our aggregate liability arising from or relating to the Service is limited to the amount you paid us in the twelve months preceding the claim, or one hundred Singapore dollars (or its equivalent in US dollars where applicable) if no fees were paid, except where liability cannot be excluded by law. Nothing in these Terms excludes or limits liability where such limitation is prohibited by law, including liability for (i) death or personal injury (ii) fraud or fraudulent misrepresentation or (iii) wilful misconduct.

We do not warrant that use of the Service will ensure compliance with applicable employment, tax, immigration, or regulatory requirements. You remain responsible for ensuring compliance with applicable laws.

7. Suspension and Termination

We may suspend or terminate access to the Service if you breach these Terms, create security or legal risk, or where required by law. Where reasonably practicable, we will provide prior notice before suspension, except where immediate action is required for security, legal, or operational reasons.

You may stop using the Service at any time. Provisions that by nature should survive termination will continue to apply.

8. Governing Law

These Terms are governed by the laws of Singapore, unless otherwise required by mandatory local law. Where the Service is provided by a contracting entity in another jurisdiction within CGP Group, applicable to local laws may apply to that relationship.

The courts of Singapore shall have jurisdiction, except where mandatory local law provides otherwise.

9. Privacy and Data Protection

Our processing of personal data in connection with the Service is governed by our Privacy Policy and Cookie Policy.

Depending on how the Service is used:

(a) Where we determine the purposes and means of processing personal data (for example, candidate sourcing, enrichment, or platform analytics), we act as a data controller.

(b) Where customers use the Service to manage their own recruitment or workforce data, we act as a data processor on behalf of the customer.

Customers remain responsible for ensuring that their use of the Service complies with applicable data protection and employment laws.

We implement appropriate technical and organizational measures to protect personal data processed through the Service, including access controls, encryption, and monitoring systems.

Where required by applicable law, processing of personal data on behalf of customers will be governed by a separate Data Processing Agreement.

Personal data may be transferred to and processed in jurisdictions outside your country. Where required, we implement appropriate safeguards to ensure adequate protection of personal data.

For US users, our service-related SMS communications are additionally governed by the U.S. Service-Related SMS Messaging Addendum (the "SMS Addendum"), available from our Data Protection Officer on request.

10. Changes and Contact

We may update these Terms from time to time. Material changes will be indicated by updating the "Last updated" date above and, where appropriate, providing reasonable notice such as email notification or in-product alerts.

11. Third-Party Services

We may engage third-party service providers (including hosting, authentication, and communications providers) to support the operation of the Service.

To the extent permitted by law, we are not responsible for the independent acts or omissions of such third parties.
